TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the FinyOracle website, platform, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. WHO WE ARE

FinyOracle is operated by NeurXn ("NeurXn," "we," "us," or "our"), based in La Plata, Buenos Aires, Argentina.

FinyOracle is an AI-powered market analysis platform for crypto and forex markets. The Services interpret price action, technical indicators, and market context to generate informational analytical outputs, which may include commentary, directional bias, price levels, confidence scores, and similar insights.

2. ELIGIBILITY

You must be at least 18 years old to use the Services.

By using the Services, you represent and warrant that:

  • you have the legal capacity to agree to these Terms;
  • the information you provide is accurate and current;
  • you will comply with applicable laws and these Terms; and
  • you will not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes.

3. ACCOUNTS AND ACCESS

You must register for an account to use the Services.

We may offer account access through email/password, Google sign-in, or other authentication methods that we make available from time to time. Authentication and account infrastructure may be provided by third-party providers, including Clerk or similar providers.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly if you believe your account has been accessed without authorization.

We may refuse, restrict, suspend, or terminate accounts in cases including, without limitation, fraud, abuse, duplicate accounts created to obtain promotional benefits, payment disputes, chargebacks, evasion of system limits, or violations of these Terms.

4. NATURE OF THE SERVICES

The Services are for informational and educational purposes only.

FinyOracle does not:

  • execute trades;
  • connect to your brokerage or exchange account on your behalf for trade execution;
  • move, hold, or custody funds or assets;
  • provide personalized investment advice;
  • act as a broker, dealer, investment adviser, portfolio manager, or fiduciary.

The analytical outputs are generated based on inputs you select, such as symbols, timeframes, and technical indicators. The Services may display structured analysis, directional indications, price levels, and confidence metrics, but those outputs are not guarantees and must not be treated as financial, investment, legal, tax, or professional advice.

5. CREDITS, TOP-UPS, AND PROMOTIONAL CREDITS

The Services use a prepaid credit system. Credits are the internal unit used to access analyses and related features.

Credits:

  • do not expire unless we expressly state otherwise in writing;
  • are non-transferable;
  • are not redeemable for cash;
  • do not generate interest;
  • have no monetary value outside the Services.

We may offer purchased credits, promotional credits, or free welcome credits. Promotional or free credits may be granted, limited, modified, withheld, or revoked at our sole discretion, including in cases of abuse, duplicate registrations, fraud, suspicious activity, policy violations, or chargebacks.

Purchased credits and promotional credits may be subject to different business rules. Unless we state otherwise, promotional credits also do not expire.

We may change the amount of credits required for features, analyses, or top-ups at any time.

6. CREDIT DEDUCTION RULES

Credits are only intended to be deducted when an analysis request is successfully completed.

If an analysis request fails before successful completion due to an internal error, third-party provider limitation, infrastructure issue, or service limit, credits should not be deducted. If credits are deducted in error, we may automatically restore them where possible. If you believe credits were deducted incorrectly, contact us at neurxn.ai@gmail.com.

7. PAYMENTS AND PAYMENT PROCESSORS

Credit top-ups and other paid transactions may be processed by third-party payment processors, including Lemon Squeezy and other providers we may integrate in the future.

A payment processor may act as merchant of record for a transaction and may handle billing, payment processing, tax collection, fraud checks, and related compliance matters.

By making a purchase, you authorize the applicable payment processor to charge your selected payment method for the applicable amount.

You agree to provide complete, accurate, and current payment and billing information.

Paid credits are generally made available promptly after successful payment confirmation, although processing times may vary.

All purchases are generally final, except where refunds are required by applicable law or applicable payment processor policies.

If a payment is reversed, disputed, charged back, fraudulent, unauthorized, or otherwise invalid, we may suspend or terminate the related account, revoke or reverse credits, refuse future purchases, or take other protective action.

8. ACCEPTABLE USE

You may use the Services only for your own personal, non-commercial use, unless we expressly authorize otherwise in writing.

You may not:

  • resell, sublicense, redistribute, or commercially exploit the Services or their outputs;
  • reverse engineer, decompile, copy, extract, or attempt to derive source code, prompts, system logic, models, or proprietary workflows from the Services;
  • use the Services or their outputs to train, fine-tune, improve, benchmark, or evaluate any machine learning or AI system without our prior written consent;
  • scrape, harvest, or collect data from the Services through automated means;
  • bypass or attempt to bypass request limits, concurrency limits, rate limits, access restrictions, or security controls;
  • use bots, scripts, or automation to abuse or overload the Services;
  • interfere with the operation, integrity, or security of the Services;
  • use the Services for unlawful, infringing, deceptive, abusive, or fraudulent purposes.

9. INTELLECTUAL PROPERTY

The Services, including the software, platform design, workflow logic, prompts, interfaces, visual elements, trademarks, logos, branding, text, graphics, and related intellectual property, are owned by or licensed to NeurXn and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms.

Subject to these Terms, you may view and use analytical outputs generated through your account for your own personal use. You may not republish, resell, package, redistribute, or commercially exploit those outputs without our prior written consent.

If you send us feedback, suggestions, or ideas, you agree that we may use them without restriction or compensation to you.

10. AI-GENERATED OUTPUTS AND FINANCIAL DISCLAIMER

The Services use artificial intelligence and third-party AI providers to generate analytical outputs. AI-generated content can be inaccurate, incomplete, inconsistent, delayed, misleading, or wrong.

You understand and agree that:

  • the Services do not provide financial or investment advice;
  • the Services do not provide personalized recommendations;
  • the Services do not take into account your personal financial situation, objectives, experience, or risk tolerance;
  • any analytical output is general informational content only;
  • no output should be relied upon as the sole basis for any trading or investment decision;
  • you are solely responsible for verifying information and for any decisions or actions you take.

Past performance is not indicative of future results.

Trading and investing in crypto, forex, and other financial markets involve substantial risk. You may lose part or all of your capital. We do not guarantee profitability, performance, accuracy, completeness, or fitness for any specific purpose.

11. THIRD-PARTY PROVIDERS AND MARKET DATA

The Services depend on third-party providers and infrastructure, including, for example, authentication providers, AI model providers, market data providers, hosting providers, and payment processors. These may include providers such as Clerk, OpenAI, Google Gemini, Binance, CoinGecko, Vercel, Railway, and others.

We do not control and are not responsible for third-party systems, outages, interruptions, data gaps, changes, inaccuracies, delays, throttling, rate limits, suspensions, or discontinuations.

Market data, chart data, and AI responses may be delayed, incomplete, unavailable, or inaccurate.

12. SERVICE AVAILABILITY, LIMITS, AND CHANGES

We do not guarantee that the Services will be uninterrupted, error-free, or continuously available.

We may apply operational limits, including limits on requests, concurrent analyses, feature access, and system usage.

We may at any time, with or without notice where appropriate:

  • modify, suspend, restrict, or discontinue any part of the Services;
  • change supported assets, markets, models, providers, features, or analysis formats;
  • change pricing, credit amounts, credit packages, or usage requirements;
  • perform maintenance, security updates, migrations, or emergency actions.

13. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate your access to the Services immediately if we reasonably believe that:

  • you violated these Terms;
  • your account is involved in fraud, abuse, chargebacks, or suspicious activity;
  • you attempted to evade limits, obtain promotional benefits improperly, or interfere with the Services;
  • we are required to do so for legal, security, or operational reasons.

If your account is suspended or terminated, you may lose access to all or part of the Services, including analysis history, purchased credits, promotional credits, and account features, subject to applicable law.

14. DATA, HISTORY, AND ACCOUNT CLOSURE

We may store account information, analysis history, selected symbols, timeframes, indicators, generated outputs, logs, and related service data associated with your use of the Services.

Analysis history may remain available in your account on an ongoing basis, but we do not guarantee permanent storage or uninterrupted historical access.

Self-service account deletion may not be available. If you want to request account closure, contact us at neurxn.ai@gmail.com.

If an account is closed or deleted, access to credits, history, outputs, and account-related data may be lost. We may retain certain data for a reasonable period for legal, compliance, backup, security, fraud prevention, dispute resolution, and operational purposes.

16. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, ERROR-FREE, UNINTERRUPTED, TIMELY, OR FREE OF BUGS, VIRUSES, FAILURES, OR HARMFUL COMPONENTS.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURXN AND ITS AFFILIATES, FOUNDERS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US OR OUR PAYMENT PROCESSOR FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless NeurXn and its affiliates, founders, contractors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your misuse of the Services;
  • your violation of these Terms;
  • your violation of applicable law;
  • your infringement of any third-party rights.

19. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Argentina, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be submitted to the competent ordinary courts of Argentina, unless mandatory consumer protection law applicable in your place of residence gives you a non-waivable right to bring a claim in another forum.

Nothing in these Terms limits any non-waivable consumer rights you may have under applicable law.

20. CHANGES TO THESE TERMS

We may update these Terms from time to time.

If we make material changes, we may notify you by posting the updated Terms on the website, updating the "Last updated" date, through the Services, or by other reasonable means.

Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.

21. MISCELLANEOUS

These Terms constitute the entire agreement between you and us regarding the Services and supersede prior understandings relating to the same subject matter.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganization, sale, or other transfer of our business or assets.
